Job Summary

AWAKE seeks passionate community members to join the Board of Directors for the 2025-2027 term. 

Advocates for Women’s and Kids’ Equality (AWAKE) is a grassroots nonprofit organization that advocates for the systemic advancement of women and young people in Tennessee through education initiatives and policy change. Our theory of change addresses both bottom-up and top-down approaches to change-making. AWAKE is based in Nashville, TN.

Job Responsibilities

As the leadership body of AWAKE and to satisfy its fiduciary duties, the board is responsible for the following:

  • Help carry out and guide the mission of AWAKE
  • Actively participate in the formulation and finally authorize the organization’s long-term strategic direction
  • Monitor the Achievement of Goals and Objectives
  • Formulate and adopt policies as necessary
  • Select and evaluate the performance of the Executive Director
  • Ensure strong fiduciary oversight and financial management 
  • Develop financial resources to achieve goals including engagement in fundraising 
  • Enhance AWAKE’s public image; Serve as an Ambassador and Advocate within the community
  • Self-assess board performance as the governing body of AWAKE
  • Initiate and support collaborations with other community organizations, both public and private, to meet needs that are greater than those that can be met by one organization acting alone

Roles and Expectations of Individual Board Members 

Organizational Ambassador

  • Each board member is a goodwill ambassador for AWAKE by positively promoting our work and increasing awareness of AWAKE in the community. This requires an understanding of and ability to articulate AWAKE’s mission, policies, programs, and needs

Meetings

  • Board meetings are held bimonthly for 75 minutes. Specific dates and times will be scheduled prior to the first meeting of the year. 
  • Board members should be prepared for and participate in five of the six annual meetings. It is preferred that members are in-person at these meetings, but virtual options can be made available if necessary. 

Committees

  • Each board member is encouraged to be an active participant in one or more board-designated committees, through which the board meets its obligations to AWAKE. Committee meetings generally take place in the months between the larger board meetings and are scheduled according to the committee member’s availability.

Fundraising Support

  • Each board member supports AWAKE’s fundraising efforts and is responsible for bringing in $1,500 annually, or a meaningful contribution, to help carry out our mission. Board financial commitments will be disclosed to the Executive Director at the beginning of each year. This support can take many forms.

Events

  • Each board member is asked to attend and support both annual special events: Spring AWAKE (May) and Artists for AWAKE (November).

Responsible Governance

  • Follow AWAKE’s bylaws, policies, and board resolutions 
  • Sign annual conflict-of-interest disclosure and update it during the year if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
  • Maintain confidentiality about all internal matters of AWAKE
  • Support and maintain a positive culture and environment for board and staff members
